Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using SkillsLib.ai ("the Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and SkillsLib.ai.

2. Account Registration

To use certain features of the Platform, you must create an account. When registering, you agree to the following:

  • You must be at least 18 years of age to create an account and use the Platform.
  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are solely responsible for maintaining the confidentiality of your account credentials, including your password.
  • You are responsible for all activities that occur under your account, whether or not you authorized them.
  • You must notify us immediately if you become aware of any unauthorized access to or use of your account.
  • You may not create multiple accounts for the purpose of circumventing restrictions or bans.

3. User Conduct

All users of the Platform agree to conduct themselves in a manner that is respectful and lawful. The following activities are strictly prohibited:

  • Spam: Sending unsolicited bulk messages, repetitive content, or promotional material to other users.
  • Harassment: Threatening, bullying, intimidating, or otherwise harassing other users.
  • Offensive content: Posting hate speech, slurs, discriminatory language, or content designed to shock or offend.
  • Pornography: Uploading, sharing, or distributing sexually explicit or pornographic material of any kind.
  • Solicitation: Soliciting or advertising illegal goods, services, or activities.
  • Illegal activities: Using the Platform to plan, coordinate, or engage in any activity that violates applicable law.
  • Copyright infringement: Uploading content that infringes on the intellectual property rights of others, including skills, code, text, or media you do not have the right to distribute.
  • Duplicate skills: Publishing skills that are substantially identical to existing listings on the Platform.

Violation of these conduct rules may result in content removal, account suspension, or permanent termination at our sole discretion. See our Site Policy for full community guidelines.

4. Messaging Policy

The Platform provides a messaging system to facilitate communication between buyers and sellers. The following rules apply to all messages:

  • Word limit: Each message is limited to 500 words. Messages exceeding this limit will be rejected.
  • Rate limiting: Users may message up to 5 unique recipients per hour. This limit resets on a rolling basis.
  • No spam: Do not send repetitive, unsolicited, or promotional messages.
  • No solicitation: Do not use the messaging system to solicit transactions outside of the Platform.
  • No offensive content: All messages are subject to automated content moderation. Messages containing offensive, pornographic, or illegal content will be blocked.

Messages that violate these rules will be automatically blocked. Repeated violations may result in the restriction or suspension of your messaging privileges, or termination of your account.

5. Skill Listings

Sellers who list skills on the Platform agree to the following:

  • All skills must be your original work or you must have the legal right to distribute them.
  • Skills must not contain copyrighted material belonging to third parties without proper authorization.
  • All skill submissions undergo an automated AI quality check. Skills that do not meet minimum quality standards may be rejected.
  • Duplicate or substantially similar skills to existing listings will be rejected by our automated duplicate detection system.
  • The Platform reserves the right to remove any skill listing at any time, without prior notice, for any reason including but not limited to policy violations, quality concerns, or legal requirements.
  • Skill descriptions must be accurate and not misleading. Sellers must deliver what is described in the listing.

6. Purchases & Payments

All financial transactions on the Platform are subject to the following terms:

  • Final sales: All purchases are considered final upon completion of the transaction.
  • Revenue split: The Platform operates on an 85/15 revenue split. Sellers receive 85% of each sale, and the Platform retains 15% as a service fee.
  • Payment processing: All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service in addition to these Terms.
  • No Refunds: All sales are final. Digital goods purchased on SkillsLib.ai are non-refundable. By completing a purchase, you acknowledge and accept this no-refund policy. We encourage buyers to carefully review skill descriptions, FAQs, reviews, and any available previews before purchasing.
  • Payouts: Seller payouts are processed according to the schedule and methods outlined in the seller dashboard.

7. Intellectual Property

Intellectual property rights on the Platform are governed as follows:

  • Seller ownership: Sellers retain full ownership of their skills and all associated intellectual property.
  • Buyer license: When a buyer purchases a skill, the seller grants the buyer a non-exclusive, non-transferable license to use the skill as described in the listing.
  • Platform license: By listing a skill on the Platform, sellers grant SkillsLib.ai a non-exclusive, worldwide license to display, promote, and distribute the skill listing, including its title, description, preview content, and associated metadata.
  • Platform IP: The SkillsLib.ai platform, including its name, logos, design, software, and all proprietary technology, remains the exclusive property of SkillsLib.ai.

8. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in the Privacy Policy.

9. Account Verification

To access certain features of the Platform, such as selling skills or receiving payouts, you may need to complete account verification. This process may require:

  • Phone number verification via SMS or voice call.
  • Payment method verification through Stripe (for sellers receiving payouts).

Verified accounts are indicated by a verification badge. Misrepresenting your verification status or using fraudulent information to obtain verification is a violation of these Terms.

10. Termination

SkillsLib.ai reserves the right to suspend or terminate your account, at our sole discretion, with or without prior notice, for any reason including but not limited to:

  • Violation of these Terms or any applicable Platform policies.
  • Fraudulent, abusive, or illegal activity.
  • Extended periods of inactivity.
  • Requests by law enforcement or government agencies.

Upon termination, your right to use the Platform ceases immediately. Any pending payouts may be withheld if your account is terminated for policy violations.

11. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law:

  • SkillsLib.ai does not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
  • SkillsLib.ai is not responsible for the quality, accuracy, or legality of skills listed by sellers.
  • In no event shall SkillsLib.ai be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill.
  • SkillsLib.ai's total liability for any claim arising out of or relating to the Platform shall not exceed the amount you paid to SkillsLib.ai in the 12 months preceding the claim.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will notify users via email or through a prominent notice on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.
